“Zerixa”, “we”, “us”, or “our” refers to Zerixa based in Mwanza, Tanzania. “Client”, “you”, or “your” refers to any individual or organization using our services. “Services” refers to any products or services we provide, including but not limited to software development, websites, systems, mobile applications, data analytics, cloud solutions, consulting, and maintenance.

2. Scope of Services

Service scope is defined in the proposal, quotation, statement of work, or written agreement. Any request outside the agreed scope may require a change request and additional fees.

3. Quotes, Pricing, and Payments

3.1 Quotes

Quotes are estimates based on the information available at the time. Final pricing may change if requirements change.

3.2 Payments

Unless otherwise agreed in writing, payments may be required in milestones (e.g., deposit, mid-project, delivery). Late payments may delay delivery.

3.3 Taxes

Prices may be subject to applicable taxes in Tanzania or other jurisdictions.

4. Project Timelines

Timelines depend on client feedback, approvals, and timely provision of content and requirements. We are not responsible for delays caused by missing information, late approvals, or third-party dependencies.

5. Client Responsibilities

  • Provide accurate project requirements and timely feedback.
  • Ensure you have rights to any content you provide (text, images, logos).
  • Designate a point of contact for approvals and project decisions.

6. Intellectual Property

6.1 Client Materials

You retain ownership of content you provide. You grant us a license to use it solely to deliver the services.

6.2 Deliverables

Unless otherwise agreed, ownership of deliverables transfers to you after full payment. We may reuse general know-how, non-client-specific code, and methodologies.

6.3 Third-Party Licenses

Some solutions may include third-party libraries, templates, or services subject to their own licenses.

7. Confidentiality

Both parties agree to keep confidential information private and use it only for the purpose of the engagement.

8. Warranties and Disclaimers

We provide our services using reasonable skill and care. Except as expressly stated, services are provided “as is” without warranties of any kind, including warranties of fitness for a particular purpose.

9. Limitation of Liability

To the maximum extent permitted by law, Zerixa shall not be liable for indirect, incidental, special, consequential, or punitive damages. Our total liability for any claim related to the services will not exceed the fees paid for the specific service giving rise to the claim.

10. Support and Maintenance

Support terms (including duration and response times) are defined in the proposal or service agreement. Maintenance may be offered as a recurring service.

11. Termination

Either party may terminate an engagement if the other party materially breaches these Terms and fails to cure within a reasonable time. Upon termination, you will pay for work completed up to the termination date.

12. Acceptable Use

You agree not to misuse our website or services, including attempts to disrupt systems, access data without authorization, or distribute malware.

13. Governing Law

These Terms are governed by the laws of Tanzania. Disputes will be resolved in the appropriate courts in Tanzania unless otherwise agreed.

14. Changes to These Terms

We may update these Terms from time to time. The updated version will be posted on this page with an updated “Last updated” date.
